1. Company Information
These Terms and Conditions of Use (“Terms”) govern the access to and use of the services provided by TPP GLOBAL LTD (“TPP”), a company incorporated under the laws of the United Kingdom, with registered office at:

By using TPP’s services, the Client agrees to be bound by these Terms. If the Client does not accept these Terms, it must refrain from using TPP’s services.
2. Purpose of the Services
TPP operates as a Customer Relationship Management (CRM) platform and fulfilment provider. We provide operators, suppliers, and partners in the iGaming, entertainment, and marketing sectors with:
- A data management environment for their players, customers, and promotional recipients.
- A prize fulfilment infrastructure for physical and digital products, collectibles, and gift cards.
- A secure API to manage loyalty campaigns, prize logistics, and user engagement.
TPP does not develop, operate or offer games of chance or gambling products. TPP acts solely as a technical and logistical provider.
3. Regulatory Compliance and Client Responsibility
3.1 Client’s Responsibility for Regulatory Compliance
- The Client is solely responsible for ensuring that its use of TPP’s services complies with all applicable laws and regulations, including but not limited to those governing gambling, gaming, promotions, sweepstakes, advertising, and data protection in its jurisdiction(s).
- The Client warrants that all users of the service through its implementation are of legal age and fully authorized to participate in the loyalty programs and prize campaigns it manages.
- TPP does not provide legal advice and assumes no liability for the Client’s compliance with any applicable regulations.
- TPP shall not be deemed an operator of gambling, a betting intermediary, or a regulated entity under any gaming legislation.
3.2 Indemnification
The Client agrees to indemnify and hold TPP harmless from any claims, fines, penalties, damages, losses, or liabilities arising from the Client’s breach of applicable laws, violation of third-party rights, data misuse, failure to meet age or jurisdictional requirements, or from content or assets provided to TPP.
4. Data Provided by the Client
4.1 Accuracy and Lawfulness
- The Client remains solely responsible for the accuracy, completeness, and lawfulness of all data submitted to TPP’s systems, whether via API, batch upload, or manual input.
- TPP will treat all data received as accurate and authentic and will process it accordingly to fulfil prize delivery or manage loyalty campaigns.
4.2 No Independent Verification
- TPP does not independently verify the identity or eligibility of end-users or recipients entered by the Client into the system.
- Any errors, false entries, or misrepresentations in data are entirely at the Client’s risk and cost.
4.3 Data Protection
- TPP acts as a data processor under applicable data protection laws (including GDPR) and processes personal data solely on behalf of, and under the instructions of, the Client.
- The Client is the data controller and must ensure it has the appropriate legal basis to transfer personal data to TPP.
- TPP implements appropriate technical and organisational measures to protect data but does not assume liability for data provided without proper consent or legal basis.
5. Prize Fulfilment and Logistics
- TPP will manage the fulfilment of prizes, collectibles, and merchandise according to the specifications agreed with the Client.
- Any issues arising from incorrect delivery addresses, ineligible recipients, customs restrictions, or inaccurate data remain the sole responsibility of the Client.
- Delivery times are estimates and may be affected by factors outside TPP’s control (e.g., supply chain delays, customs clearance, force majeure).
6. Permitted Use of Services
The Client undertakes to use TPP’s services solely for legitimate and lawful purposes. The Client shall not:
- Use the services to conduct or facilitate unlawful or unlicensed gambling activities.
- Submit false, misleading, or unauthorised personal data.
- Misuse TPP’s API, software, or CRM to infringe third-party rights or applicable regulations.
- Upload, transmit or use any content, image, or material that violates the rights of any third party.
TPP reserves the right to suspend or terminate services if the Client breaches these provisions.
6.1 No Resale or Sublicensing
The Client may not sublicense, resell, assign, or otherwise transfer its access to the services to any third party without prior written consent from TPP.
7. Intellectual Property Rights
All intellectual property rights in TPP’s software, APIs, databases, designs, trademarks, and documentation remain the exclusive property of TPP. The Client receives a non-exclusive, non-transferable, revocable licence for the duration of the contract.
7.1 Third-party Rights
The Client is solely responsible for ensuring the use of any third-party brand content is legally compliant. TPP does not grant any rights in third-party IP.
8. Limitation of Liability
8.1 Exclusion of Certain Damages
TPP is not liable for:
- Indirect, incidental, or consequential damages.
- Lost profits or reputational harm.
- Fines or claims due to Client’s regulatory failures.
8.2 Maximum Liability
TPP’s total liability is limited to the total fees paid by the Client in the last 12 months.
8.3 As-Is Disclaimer
Services are provided “as is” and “as available,” without warranties of any kind.
9. Data Security and Confidentiality
TPP implements commercially reasonable security measures. The Client is responsible for maintaining secure credentials and limiting access.
10. Service Availability and API Usage
TPP may update, suspend, or discontinue services at any time. TPP is not responsible for interruptions caused by third-party providers, APIs, or external dependencies.
11. Marketing and Publicity
Unless agreed otherwise, the Client allows TPP to use its name and logo for promotional purposes.
12. Modifications to the Terms
TPP may update these Terms. Continued use after notice constitutes acceptance.
13. Duration, Suspension and Termination
TPP may suspend or terminate access if:
- The Client breaches these Terms.
- TPP suspects unauthorised or illegal use.
- The Client fails to pay fees.
14. No Agency or Partnership
These Terms do not create a joint venture, partnership, or agency relationship.
15. Assignment
The Client may not assign rights or obligations without consent. TPP may assign freely.
16. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes shall be resolved in London courts.
17. Language
These Terms are in English. In case of conflict, the English version prevails.
